Responsible for advising company (and its financing subsidiary) with respect to (1) compliance with all applicable securities laws, including all required periodic filings with the Securities and Exchange Commission (SEC), (2) preparing substantial parts or all of the company's 34 Act filings, (3) all significant corporate financings, including registered public offerings of debt or equity and (4) assisting the Corporate Secretary in maintaining and managing an effective system of corporate governance policies and practices, including compliance with the requirements of the SEC, New York Stock Exchange (NYSE) and state corporate law. Also provides support to Vice President & General Counsel in relation to Delaware Corporate Law and Governance matters. Responsible for acting as lead M&A attorney for all multistate and enterprise level business development opportunities, working on deal structure, negotiations, diligence, drafting and key transition issues.

Don't Be Fooled

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
